Terms of Service

1. Acceptance of Terms

By accessing or using the Qport platform, including the Qport mobile application and web application (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Qport is a GPS-verified route intelligence platform built for Over Dimensional Cargo (ODC) and wind turbine logistics. The Service provides:

• Digital route survey and capture via mobile application
• Route planning, review, and approval workflows
• Turn-by-turn navigation with GPS tracking for assigned routes
• Real-time live tracking of vehicles and convoy members during deliveries
• Route deviation detection and alerting
• Task management and team coordination
• Analytics, reporting, and data export capabilities
• Offline navigation with automatic sync

3. User Accounts

3.1 Account Creation

Access to Qport is provided through organizational accounts (client accounts). User accounts are created by organization administrators. Each user is assigned a role (surveyor, driver, or admin) that determines their permissions and access levels within the platform.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying your organization administrator immediately of any unauthorized use of your account

We enforce single-device login policies. You may only be signed in on one device at a time unless your organization's settings allow otherwise.

3.3 Account Deactivation

Organization administrators may deactivate user accounts at any time. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service for any purpose other than legitimate logistics and route management operations
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, etc.) to access the Service without our express written consent
• Upload malicious content, viruses, or harmful code
• Share your login credentials with other individuals
• Submit false, misleading, or fabricated route survey data
• Use the Service to track individuals without their knowledge and consent
• Violate any applicable local, state, national, or international laws or regulations

5. GPS and Location Services

Core features of Qport rely on GPS and location data. By using these features, you acknowledge and agree that:

• GPS accuracy depends on device hardware, environmental conditions, and satellite availability
• Location data collected during navigation sessions will be visible to authorized users in your organization in real time
• Route deviation detection is based on GPS data and may have inherent accuracy limitations
• Qport is intended as a navigation aid and should not be the sole basis for safety-critical decisions during transport operations
• You are responsible for complying with all applicable traffic laws and transport regulations regardless of the route guidance provided by Qport

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, software, algorithms, AI models, documentation, logos, and branding, is the exclusive property of Travexa Pvt Ltd and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Your Data

You (or your organization) retain ownership of all data you submit to the Service, including route surveys, photos, notes, and GPS data. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you and your organization.

We may use anonymized and aggregated data (which cannot identify you or your organization) for improving our services, analytics, and research purposes.

7. API Access

Organizations may access certain data through our API using API keys. API keys are confidential and must be kept secure. You are responsible for all activity that occurs using your API keys. We reserve the right to revoke API access at any time if we detect misuse or violation of these Terms.

8. Subscription and Payment

Access to Qport is provided on a subscription basis to organizations. The specific pricing, billing terms, and service tier details are outlined in the separate Service Agreement between Travexa and the subscribing organization. Individual users access the platform through their organization's subscription.

9. Service Availability

• We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
• We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to your organization.
• Offline functionality is provided as a convenience and depends on prior data synchronization. We are not responsible for data loss due to device failure or corruption while in offline mode.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Travexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
• Travexa is not responsible for any damages, delays, or losses arising from reliance on GPS data, route recommendations, or navigation guidance provided by the Service.
• Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by your organization to Travexa in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Travexa Pvt Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any content or data you submit through the Service

12. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• Your organization's subscription expires or is terminated
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and governing law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating any formal dispute resolution, both parties agree to attempt to resolve disputes informally by contacting each other through the contact information provided below.

15. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify your organization of material changes and post the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Travexa regarding the Service.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
